Introduction

This Agreement, hereinafter referred to as the "Partnership Agreement," establishes the terms and conditions governing the collaborative partnership between the EDUCATE AFRICA LTD known with trade name "Edukate", a recognized Edu FinTech Organisation with a presence in the United Kingdom, Nigeria, and the United Kingdom, and the Charities and institutions they work with (collectively referred to as the "Parties"). The purpose of this Partnership Agreement is to outline the framework and responsibilities of the Parties in achieving common objectives related to education, fundraising, and the advancement of educational opportunities. This Agreement encompasses a multifaceted partnership aimed at raising funds to support educational initiatives, fostering access to quality education, and facilitating the pursuit of degrees through Edukate's affiliated universities.

Both Edukate and the institutions recognize the transformative power of education as a "great equalizer" and a force for societal progress and individual empowerment. This partnership seeks to harness their respective expertise and resources to bridge educational gaps, particularly in underserved regions, and promote inclusivity in education. By combining their strengths, the Parties aim to make education accessible, affordable, and enriching for a broader spectrum of individuals, thereby contributing to the overall development of communities and societies on the African continent.

This Agreement sets the rights, obligations, and operational guidelines governing the partnership between Edukate and the institutions affiliated, emphasizing transparency, accountability, and the shared commitment to the mission of providing educational opportunities to those who face barriers to learning. The Parties understand the significance of their collaboration in advancing the cause of education and hereby pledge to work diligently and in good faith to achieve their mutually beneficial goals.

By entering into this Partnership Agreement, both Edukate, the individuals and the institutions intend to create a lasting impact on education, empower learners, and inspire positive change, reflecting their shared vision of a world where educational opportunities are within reach for all.

Partner Objective

The Parties, in recognition of their shared commitment to the transformative power of education and their desire to democratize education, hereby enter into this Partnership Agreement with the following objectives:

Fundraising Initiatives

Fundraising Initiatives: The Parties commit to a collaborative effort to organize and execute fundraising initiatives, campaigns, and activities with the primary goal of mobilizing financial resources. These resources are to be allocated to support a wide range of educational initiatives, programs, and projects, with a special emphasis on reaching and empowering underserved individuals of African decent who may face obstacles in accessing quality education.

Fund Utilization

Fund Utilization: The funds raised through the joint fundraising efforts shall be allocated strategically to:

  • Educate deserving learners, including but not limited to beneficiaries on the Edukate Platform as well as Edukate's affiliate Universities' Platform;
  • Enhance educational infrastructure, resources, and materials that contribute to overall quality and accessibility;
  • Foster development and expansion of educational programs aimed at addressing disparities.

Sustainable Funding

Sustainable Funding: The Parties aspire to establish a sustainable source of funding for ongoing and future educational initiatives, ensuring that the impact of this partnership extends well into the future.

Educational Advancement

Facilitating Educational Advancement through Edukate's Affiliated Universities

  • Educational Opportunities: Edukate shall facilitate and promote educational opportunities, including degree programs, certifications, and skill development courses, offered through its affiliated universities.
  • Accessible Learning: The Parties commit to making education accessible to a broader spectrum of learners of African decent, including those who may not have had the opportunity without financial support.
  • Academic Support: Edukate, in collaboration with individuals, institutions and Charities, shall provide academic support, mentorship, and guidance to beneficiaries pursuing programs.
  • Monitoring and Evaluation: The Parties will jointly conduct periodic evaluations of program outcomes and impact to ensure resources are utilized effectively.

Fundraising

Fundraising Initiatives

Collaborative Efforts: Edukate, affiliated individuals and institutions shall actively collaborate to conceive, plan, and execute fundraising initiatives with the objective of generating financial resources to support students via initiatives and projects.

Diverse Fundraising Approaches: The Parties shall explore and employ diverse approaches, including online and offline events, donor outreach, grant applications, and partnerships.

Beneficiary-Centric Fundraising: Fundraising initiatives shall prioritize beneficiary needs to empower underserved individuals and communities.

Edukate Sponsorship Rights: Edukate reserves exclusive rights to approve all initiatives, campaigns, and materials. Prior written consent is required for deviations or new initiatives.

Donations Management

Dedicated Fund Account: All funds shall be deposited into a dedicated Edukate business account for oversight and tracking.

Oversight and Control: Edukate assumes primary control over the account, including monitoring inflows/outflows and ensuring regulatory compliance.

Auditing and Reporting: Independent auditors appointed by Edukate shall conduct regular audits, and reports will be shared with stakeholders.

Utilization of Funds

Primary Utilization: Funds raised shall be used to fund tuition fees and related educational expenses at Edukate’s affiliate universities.

Responsible Allocation: Edukate oversees disbursements to ensure alignment with objectives and donor intent.

Transparency and Reporting

Financial Transparency: Edukate maintains accurate financial records.

Donor Reporting: Donors receive regular reports on fund utilization and impact.

Accountability: Parties uphold accountability through open communication and can initiate corrective actions if discrepancies arise.

Purpose of Donations: All donations made to the collaborative fundraising efforts between Edukate, the individuals, institutions and Charities are intended to advance the cause of education, with a primary focus on supporting underserved individuals of African decent through access to quality learning opportunities.

Utilization of Donations: Donations received through fundraising initiatives shall be exclusively allocated to the following educational purposes:

  • Tuition fees and related educational expenses, facilitating the education of beneficiaries on the Edukate platform.
  • Tuition fees and related educational expenses for beneficiaries pursuing programs through Edukate’s affiliated universities.

Non-Refundable Donations

Irrevocable Commitment: Donors and contributors are hereby informed that all donations made to the collaborative fundraising efforts are non-refundable. Once received, funds are an irrevocable commitment to support educational initiatives as outlined.

Timely Utilization of Donations

Responsible Allocation: Donations must be utilized efficiently to further educational objectives, ensuring every tuition payment raised is used within 12 months of the donation date, or remains valid for Edukate programs only.

Donor Acknowledgment

Gratitude: Edukate extends heartfelt gratitude to all donors and contributors.

Transparency: Donors will receive acknowledgment and regular updates on fund utilization and beneficiary impact.

Privacy: Donor information is protected in accordance with applicable laws.

Donor Communication

Donor Queries: Donors with questions are encouraged to reach out to Edukate’s designated contacts for prompt responses.

Payment Processors for Charities

Payment Processor Partnerships

Payment Partners: Edukate has established partnerships with reputable processor EVMAX to facilitate donations.

Default Payment Processes: The default processor is EVMAX; beneficiaries are directed based on region.

Exceptions: Exceptions may be made at Edukate’s discretion in consultation with beneficiaries.

Payment Processing Procedures

Donor Experience: Edukate ensures a seamless, secure donor experience via designated processors.

Financial Transactions: All transactions are processed through the chosen processor, subject to its terms.

Financial Records: Accurate records are maintained for transparency and accountability.

Payment Processor Support: Parties collaborate with processors to resolve issues securely.

Beneficiaries

Selection Criteria: Edukate undertakes a rigorous selection based on merit, need, and qualifications.

Scholarship Recipients: A subset may be designated based on criteria, covering fees and materials.

Definition: Any IP developed during this partnership is Edukate’s exclusive property.

Sole Ownership: Edukate retains all rights; charities have no claim.

Usage Rights

Educational Purposes: Edukate may use and share IP to enhance education.

Access for Beneficiaries: Beneficiaries access resources to support learning.

Attribution: Edukate will credit itself when IP is used.

Ethical Use: Adheres to ethical standards aligned with mission.

Protection and Enforcement

IP Rights: Edukate protects its IP.

Enforcement: Legal action against infringement.

Dispute Resolution: Resolved under UK laws.

Legacy: Edukate plans future stewardship to benefit beyond partnership.

Termination

Notice: Either Party may terminate with 90 days written notice.

  • Allocation of Funds: Edukate credits a predetermined sum for Participants’ campaign activities.
  • Usage of Funds: Funds used solely for agreed promotional efforts.
  • Accounting and Transparency: Participants maintain records for audits.

Promotional Activities

  • Content Creation: Participants create engaging content.
  • Approval: All content requires prior Edukate approval.
  • Schedule: Adhere to agreed posting schedule.

Intellectual Property

Participants retain ownership of created content but grant Edukate a license for campaign use.

Confidentiality

Participants must keep financial and contractual details confidential.

Termination

Breach allows immediate termination; 30-day notice for convenience termination.

Legal Compliance

Participants comply with all relevant laws in promotional activities.

Amendment

Edukate may amend terms at any time with written notification to Participants.
