The Role The Governance and Enterprise Risk Management Advisor plays a central role in supporting the Legal Department’s oversight of corporate governance, regulatory compliance, and enterprise risk management across Mercy Corps and its affiliated entities. This position requires a strategic, detail-oriented professional who can balance governance duties with enterprise risk coordination. The Advisor will work closely with the General Counsel and senior leadership to strengthen Mercy Corps’ systems, frameworks, and reporting structures—ensuring alignment with regulatory standards in the United Kingdom, Netherlands, and the United States. Key responsibilities include advising on compliance, managing governance documents and filings, coordinating risk management initiatives, and supporting the organization’s Board of Directors. The Advisor must demonstrate discretion, excellent communication skills, and the ability to manage competing priorities across teams and time zones. Core Responsibilities Governance and Policy Coordination Maintain compliance with charity and corporate regulatory frameworks in the UK, Netherlands, and US, including oversight of filings with IRS, OSCR, KvK, and Companies House. Develop, draft, and maintain governance documents, policies, and reports in alignment with the General Counsel’s direction. Provide expert guidance on governance processes and donor due diligence requirements. Oversee Mercy Corps’ policy management framework, ensuring timely reviews and updates. Support governance oversight for Mercy Corps’ global entities and affiliates. Coordinate and occasionally lead special initiatives involving the Board of Directors and governance committees. Manage Board and Committee minutes, maintain corporate records, and perform secretarial duties within the Legal Department. Enterprise Risk Management Implement the Enterprise Risk Management (ERM) Framework and coordinate ERM Committee operations, including meetings, documentation, and reporting. Collaborate with risk owners to develop, strengthen, and align enterprise risk tools and systems. Lead or support initiatives aimed at enhancing Mercy Corps’ risk awareness, mitigation, and compliance culture. Accountability and Collaboration The Advisor reports directly to the General Counsel and works closely with the Director of Board Strategy and Engagement, the Enterprise Risk Management Committee, and members of the Executive Leadership Team. Mercy Corps expects all team members to uphold the highest standards of accountability—particularly to program participants, community partners, and stakeholders. Qualifications and Skills Bachelor’s degree in Law, Governance, Business Management, or a related discipline (advanced degree preferred). Minimum of three years’ experience in governance, compliance, legal, or risk management roles. Strong knowledge of UK, Dutch, and US regulatory frameworks and corporate compliance standards. Excellent writing, organizational, and analytical skills. Experience supporting senior executives and managing confidential data. Strong interpersonal communication across diverse teams and geographies. Proven ability to manage multiple priorities and deliver under pressure. Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint).
