Position Overview The Governance, Policy, and ERM Advisor will be a key member of Mercy Corps’ Legal Department, supporting corporate governance oversight, regulatory compliance, policy coordination, and enterprise risk management across the organisation. The role provides structured planning, advisory support, and project management to ensure the effective functioning of governance and risk-related systems and processes. The postholder will work closely with the General Counsel, senior leadership, Board stakeholders, and cross-functional teams across multiple geographies. This position requires high levels of discretion, strong analytical and writing skills, and the ability to manage complex workstreams in a fast-paced, international environment. Key Responsibilities Governance and Board Support Manage governance policies and procedures for Mercy Corps Boards and affiliated entities Coordinate and maintain: Board and Committee meeting documentation Approved minutes and resolutions The Mercy Corps corporate book Administer annual compliance requirements for Board Directors Coordinate reports for Board Committees under Legal Department oversight Support corporate secretarial responsibilities across Mercy Corps entities Regulatory Compliance Maintain and advise on compliance with charity and corporate regulatory frameworks in: United States (IRS) United Kingdom (Companies House, OSCR) Netherlands (KvK) Coordinate and manage regulatory filings and annual reporting obligations Respond to governance-related donor due diligence and compliance requests Policy Framework Coordination Coordinate Mercy Corps’ organisational policy management framework Manage policy review and approval processes Support the development, drafting, and maintenance of governance-related policies, processes, and guidance documents Enterprise Risk Management (ERM) Support the Legal Department’s oversight of the Enterprise Risk Management Committee Coordinate ERM Committee meetings, reporting, and communications Develop and manage ERM-related documentation and materials Support and, where appropriate, lead ERM special initiatives and workstreams Strengthen alignment between governance, risk management, and organisational strategy Advisory and Cross-Organisational Support Advise internal and external stakeholders on governance and risk management requirements Provide expert guidance on internal and external governance frameworks Support governance oversight of Mercy Corps affiliates and entities globally Proactively identify opportunities to improve systems, processes, and ways of working Reporting and Accountability Reports to: General Counsel Works closely with: Director of Board Strategy and Engagement Legal Department colleagues Executive Leadership Team Enterprise Risk Management Committee Mercy Corps team members are expected to uphold strong accountability to programme participants, community partners, donors, and stakeholders, in line with international standards for humanitarian and development work.
